Terms of Service
These terms apply to your use of this website and to the services Minkova LLC ("Minkova", "we", "us") provides to you ("you", "the client"). By using the website, asking for a proposal or accepting a proposal, you agree to them. If you do not agree, please do not use the website or the services.
1. Our services and the written proposal
We offer website and landing page design, Google Business Profile optimization, mini brand identity design, and related services. The packages and prices on this website describe what is normally included. The exact scope, price, schedule and what is not included for your project are set out in a written proposal that you accept. If this website, these terms and the proposal differ, the proposal comes first, then the Refund Policy, then these terms.
Prices on the website are launch prices in US dollars, may change for new proposals, and do not include taxes, domain, hosting or third-party subscriptions unless the proposal says so.
2. What we need from you
- Accurate business information, text, photos, logos and testimonials, delivered on time. Testimonials and reviews must be real, and you must not ask us to publish invented ones.
- The right to use everything you give us. You confirm that you own it or have permission to use it, and that it does not infringe anyone's rights.
- Timely access to the accounts the work needs, shared through the platform's official sharing feature.
- Timely feedback. Delays on your side move the schedule.
- Your business must comply with the laws that apply to it, including licenses, advertising rules and any claims you make about your own services.
3. Fees and payment
- Unless the proposal says otherwise, you pay a 50% deposit before work starts and the balance when you approve the final version, before we publish it or transfer the final files.
- We may pause work while a payment is overdue.
- You are responsible for taxes and for payment processor fees that apply to your payment method, unless the proposal says otherwise.
4. Revisions and changes
One round of revisions means one consolidated list of changes sent at the same time. The number of rounds is in your proposal. Changes in creative direction, new pages, new features or extra work are not minor revisions, and we quote them separately before doing them.
5. Timelines
Dates and durations are estimates that start when we receive the deposit and all the materials we need. We do not promise a specific date until we have reviewed your project.
6. Third-party platforms and costs
Your domain, hosting, email and other subscriptions are paid by you, ideally from accounts that you control. The proposal says who manages hosting, renewals and future changes. We do not move a domain without your authorization and a migration plan. Third-party platforms, such as Google, website builders and hosting providers, set their own rules and can change them, and we do not control them.
7. Ownership
- When you have paid in full, you own the final content and design files we created for you, such as the website content, the logo and the brand files we delivered.
- We keep ownership of our tools, templates, code libraries, know-how and anything we created before or outside your project. You receive a license to use those parts as included in your deliverables.
- Third-party components, fonts and software remain under their own licenses.
- We will ask you before showing your project in our portfolio or marketing.
8. Use of software and AI tools
We may use software and AI-assisted tools to research, write, design and build. We review what we deliver. The law on AI-generated material is still developing, so we cannot guarantee that every element of a deliverable can be protected by copyright or registered as a trademark. We recommend that you run a trademark search before relying on a new brand name or logo.
9. Images and content
We use only images and content that you provide, that we create, or that come with a license that allows commercial use. If you ask us to buy premium images, that cost is quoted separately and the license is in your name or as described in the proposal.
10. No guarantee of results
We do not promise rankings in search results, website traffic, calls, leads or sales. Those depend on many factors outside our control, including competition, your reputation, the quality of your service and decisions by platforms such as Google. We also cannot guarantee that a platform will approve a change or reinstate a suspended account.
11. Support after delivery
For 30 days after delivery, you can report errors in our work and we fix them at no cost. This does not cover changes you or third parties make, problems caused by platform updates, new requests, or ongoing maintenance, which can be quoted separately.
12. Confidentiality
We keep non-public information about your business confidential, and use it only to provide the services. This does not apply to information that is public, that you tell us we may share, or that we must disclose by law.
13. Limits on our liability
The website and services are provided as described in the proposal. To the fullest extent the law allows, we are not liable for indirect or consequential losses, such as lost profits, lost business or lost data. Our total liability for any claim related to a service is limited to the fees you paid us for that service. Nothing in these terms excludes liability that cannot be excluded by law.
14. Ending the agreement
Either of us may end a project by written notice. If you end it, our Refund Policy says what you pay and what we refund. We may end a project if you do not pay, do not provide the materials we need after reasonable reminders, or ask us to do something unlawful or misleading.
15. Using this website
You may use the website for lawful purposes. You may not try to disrupt it, scrape it in bulk, or copy our content or design for another business. The Minkova name, logo and website content belong to us or our licensors.
16. Governing law and disputes
These terms are governed by the laws of the State of Florida, United States, without regard to its conflict of law rules, and the courts located in Miami-Dade County, Florida. If a problem comes up, please write to us first at hello@minkova.agency. We will try in good faith to resolve it within 30 days before either of us starts formal proceedings.
17. Changes to these terms
We may update these terms. A change does not affect a proposal you have already accepted, which stays under the terms in force on the day you accepted it. The date at the top shows the last update.
